CCC Intelligent Solutions agreed on October 15 to be acquired by a consortium led by private-equity firm GTCR and including Elliott Investment Management in an all-cash transaction valued at approximately $6.1 billion. The agreement puts a price of $7.75 in cash on each share of CCC common stock. The Chicago-based company, whose software supports insurance claims and vehicle repairs, will remain public and operate independently until the deal closes.
Shareholders get $7.75 a share
The offer represents a premium of about 44% to CCC’s closing share price on July 9, the last trading day before media speculation about a possible sale, and about 59% to its 30-day average price as of that date. CCC said its board approved the transaction after a review of strategic options. The company expects the acquisition to close in the first quarter of 2027, provided it receives required regulatory and shareholder approvals.
The agreement does not depend on the buyers securing financing, according to CCC. Once the transaction is complete, CCC will become privately held and its common stock will no longer trade on Nasdaq. CCC did not announce a shareholder meeting date; it said one would be announced as soon as practicable.
AI sits inside CCC’s claims network
CCC connects more than 35,000 businesses, including insurers, repair shops, automakers and parts suppliers. Its software supports workflows across the claims and repair process, drawing on 40 years of industry data and more than a decade of AI embedded in its products, the company said. Those relationships and accumulated data are central to the business GTCR and Elliott are buying.
Githesh Ramamurthy, CCC’s chairman and chief executive, said the buyers’ resources would support additional investment in the company’s products and network.
“With GTCR and Elliott’s experience and resources, we will continue to build on our momentum and extend our leadership. Together, we will accelerate the AI and agentic capabilities our customers want from us, expand the network at the center of our platform, and continue to develop and build our world class team.”

GTCR Managing Director Mark Anderson said the firm believes CCC is positioned to serve customers adopting AI to improve decision-making and efficiency. Elliott’s Head of Global Private Equity, David Kerko, described CCC’s role connecting insurers, repair facilities, automakers and parts suppliers as a source of data and network advantages.
Closing still depends on approvals
The proposed acquisition remains subject to customary closing conditions, including regulatory clearances and a vote by CCC shareholders. The company plans to file preliminary and definitive proxy materials with the Securities and Exchange Commission; those documents will provide further information for investors before they vote. Until closing, the announcement does not change CCC’s status as a publicly traded company.
Morgan Stanley is advising CCC, while J.P. Morgan is GTCR’s lead financial adviser and lead arranger of committed financing. Citi is also advising and participating in the financing. CCC says it will release its third-quarter 2026 results on October 29, but will not hold a conference call or webcast to discuss them while the transaction is pending.
