IonQ pairs quantum security with network controls
IonQ announced on October 12, 2026, that it had agreed to acquire Elisity, a cybersecurity company focused on Zero Trust, in an all-stock transaction valued at up to $1.3 billion. The deal would combine IonQ’s post-quantum cryptography (PQC) and quantum key distribution (QKD) capabilities with Elisity’s platform for controlling access across enterprise networks. The transaction remains subject to regulatory approval and other customary closing conditions.
IonQ chairman and chief executive Niccolo de Masi said the deal adds “proven enterprise policy enforcement scale and deployment experience” to the company’s quantum security strategy. He also said, “Q-Day is coming much faster than predicted.” The announcement presents the acquisition as a way to address current network threats while preparing customers to update cryptography against future quantum risks.
Elisity brings more than 100 customer deployments
Elisity’s IdentityGraph system combines asset identity with contextual and risk information to help organizations set least-privilege access rules for users, devices, workloads and AI agents. Teams can simulate policies before restricting each identity to the network communications it needs, according to IonQ. The software enforces access rules through existing networks rather than requiring a specific underlying network technology.
IonQ says Elisity has more than 100 global customer deployments and has doubled both revenue and its customer base year over year, with no churn among deployed customers. The company describes the microsegmentation market as worth more than $10 billion and says it is growing at a double-digit compound annual rate. Those figures and performance claims come from IonQ’s deal announcement.
The combined roadmap would add cryptographic risk data
The companies plan to extend IdentityGraph with cryptographic inventory and risk information, connecting security findings with the users, devices and business operations affected by them. IonQ says the combined approach would pair cryptographic protection for data and communications with identity-based controls intended to limit unauthorized access and contain attacks. The proposed changes are framed as support for a multiyear transition, not an immediate replacement of existing network security systems.
Elisity chief executive James Winebrenner said, “Our customers need to prioritize post-quantum cryptography initiatives while securing existing assets.” He said the combination would help customers advance cryptography programs while maintaining their Zero Trust posture and keeping essential operations running. Elisity is expected to continue serving customers under Winebrenner’s leadership after the deal closes.
Up to $150 million depends on Elisity’s performance
The maximum $1.3 billion valuation includes an earnout opportunity of up to $150 million, conditional on Elisity’s performance. IonQ will calculate the number of shares issued at closing using its volume-weighted average share price over a specified 20-trading-day period. The calculation is subject to a price collar of $33.07 to $49.61 per IonQ share.
IonQ expects the transaction to close in the fourth quarter of 2026, pending required regulatory approval and other closing conditions. The company also points to 40% year-over-year growth in multiproduct revenue in the second quarter of 2026 as evidence of customer demand for multiple offerings. The acquisition’s stated commercial aim is to connect Elisity’s enterprise relationships with IonQ’s security products and expand sales of both companies’ services.
